AD ON CABS is an advertising company providing advertising and campaign-related services on taxis and participating in commercial passenger vehicles.

These Terms and Conditions apply to your visit to and use of the AD ON CABS website at www.adoncabs.com.au and to your interaction with AD ON CABS through the Website.

Advertising Terms & Conditions
Ad On Cabs Advertising Services
AD ON CABS is an advertising company providing advertising opportunities for taxis and participating in commercial passenger vehicles.
Our objective is to provide Businesses with greater exposure for their campaigns through advertising displayed on running taxis, while supporting better working opportunities for participating drivers.
These Advertising Terms & Conditions apply specifically to Businesses that request, purchase, approve or use advertising and Campaign Services provided by AD ON CABS.
Agreement Between Ad On Cabs and the Business
Thank you for considering AD ON CABS for your advertising Campaign.
By requesting a quotation, approving artwork, accepting a proposal, signing an agreement, making a payment or otherwise instructing AD ON CABS to proceed with a Campaign, the Business agrees to these Advertising Terms & Conditions.
The Business's contracting party is AD ON CABS ABN 40 984 754 951.
Consultation and Campaign Planning
AD ON CABS may provide consultation to understand the Business's advertising objectives and recommend suitable advertising options.
Consultation may include discussion of Campaign duration, advertising format, artwork, printing, installation, taxi availability, Campaign monitoring and reporting.
The final Campaign will be based on the quotation, proposal, Campaign agreement, or other written confirmation accepted by the Business.
Advertising Services
Depending on the Campaign, AD ON CABS may provide or coordinate artwork preparation, printing, production, installation, monitoring, Campaign administration, reporting and removal of advertising materials.
AD ON CABS does not provide the Business with legal, financial, marketing, accounting or other professional advice unless expressly agreed in writing.
Business Responsibility for Advertising Content
The Business is solely responsible for the content of its advertising material and warrants that all advertising content supplied to AD ON CABS is accurate, lawful, and suitable for publication.
The Business must ensure that all claims, prices, promotions, offers, product descriptions, contact details and other information contained in its advertising are correct.
The Business must not provide advertising material that is misleading, deceptive, defamatory, discriminatory, unlawful, obscene, offensive or likely to infringe another person's rights.
Intellectual Property and Approval
The Business warrants that it owns or has obtained all necessary rights, licences and permissions to use the logos, photographs, trademarks, designs, text and other content supplied to AD ON CABS.
The Business grants AD ON CABS permission to reproduce and use such materials to the extent reasonably necessary to print, install, display, monitor and administer the Campaign.
Artwork Approval
AD ON CABS may provide the Business with artwork proofs for approval.
The Business is responsible for carefully checking and approving the artwork before production.
The Business must check spelling, contact details, telephone numbers, website addresses, QR codes, prices, promotional information, images, logos, colours and other Campaign information.
Once artwork has been approved, AD ON CABS may proceed with printing and production.
Errors contained in artwork or information supplied or approved by the Business are the responsibility of the Business.
Changes requested after approval may result in additional charges.
Printing, Installation and Removal
AD ON CABS may coordinate the printing, installation, maintenance, and removal of advertising materials.
Installation and removal dates may vary due to production schedules, taxi availability, weather, vehicle servicing, repairs, or other operational circumstances.
The Business acknowledges that advertising materials may experience normal wear and tear due to exposure to sunlight, rain, vehicle washing, road conditions, and general use.
Taxi Availability
Advertising is displayed on participating taxis and is therefore dependent on the availability and operation of those vehicles.
AD ON CABS does not guarantee that a particular taxi will operate continuously, travel through a particular suburb, operate at a particular time or remain available for the entire Campaign period.
A taxi may become unavailable because of servicing, repair, accident, driver availability, vehicle replacement, regulatory requirements or other circumstances beyond the reasonable control of AD ON CABS.
Campaign Exposure
The Business acknowledges that taxi advertising exposure depends on vehicle movement, operating hours, traffic conditions, routes, taxi availability, weather, and other factors.
Any estimates regarding exposure, kilometres, operating hours, impressions or passenger views are estimates only unless expressly guaranteed in writing.
AD ON CABS does not guarantee a particular number of advertising impressions, customers, enquiries, sales or revenue.
Campaign Performance
AD ON CABS provides advertising exposure and does not guarantee a specific commercial result.
AD ON CABS does not guarantee increased sales, customers, enquiries, website visits, brand awareness, revenue or return on advertising investment.
The effectiveness of advertising depends on many factors outside the control of AD ON CABS.
Payment
All Campaign fees will be discussed during consultation and confirmed through the applicable quotation, proposal, invoice or agreement.
The Business agrees to pay the agreed fees by the due date.
GST and other applicable taxes may apply.
Additional Charges
Additional charges may apply for artwork changes, reprinting, urgent production, additional installation or removal, replacement of advertising materials, Campaign extensions or other work outside the original agreement.
Where reasonably practicable, AD ON CABS will notify the Business before undertaking chargeable additional work.
Campaign Cancellation
The Business may request cancellation of a Campaign by providing written notice.
Where cancellation occurs after AD ON CABS has incurred printing, production, installation, design or other Campaign-related costs, the Business may remain responsible for those reasonable costs.
Any refund will be considered in accordance with the applicable agreement and Australian law.
Campaign Extension
The Business may request an extension of the Campaign subject to taxi availability, production requirements and payment of applicable additional fees.
Refusal or Removal of Advertising
AD ON CABS reserves the right to refuse, suspend or remove advertising material where it reasonably believes that the material is unlawful, misleading, defamatory, discriminatory, offensive, obscene, infringing or otherwise inappropriate.
AD ON CABS may also suspend or remove advertising required by a government authority, regulator, vehicle owner, operator or other relevant authority.
Legal and Regulatory Compliance
The Business is responsible for ensuring that its advertising complies with all applicable Australian laws, regulations and advertising requirements.
The Business is responsible for obtaining any approvals, permits, licenses or consents required for its products, services or advertising.
Force Majeure
AD ON CABS will not be responsible for delay or failure to perform Campaign Services caused by circumstances beyond its reasonable control, including extreme weather, natural disasters, accidents, vehicle availability, government action, industrial disputes, telecommunications failures, major technical failures or other circumstances beyond reasonable control.
Confidentiality
AD ON CABS and the Business will take reasonable steps to protect confidential information received from the other party in connection with the Campaign.
Campaign Reporting
Where Campaign reporting is included in the agreed Services, AD ON CABS may provide information regarding the Campaign, including available photographs, vehicle information, installation status or other relevant information.
Reports are based on information reasonably available to AD ON CABS and should not be interpreted as a guarantee of advertising exposure or commercial results.
Photographs and Promotional Material
AD ON CABS may photograph taxis displaying the Business's advertising for Campaign monitoring, reporting, portfolio presentation and promotion of AD ON CABS Services.
The Business acknowledges that photographs may include roads, buildings, vehicles and public locations.
Termination
AD ON CABS may terminate or suspend a Campaign where the Business materially breaches these Advertising Terms and Conditions, fails to pay an undisputed amount, provides unlawful advertising material, infringes third-party rights, engages in fraud or misuses the Services.
Where reasonably practicable, AD ON CABS may provide notice and an opportunity to remedy a breach.
Effect of Termination
Following termination, the Business remains responsible for amounts properly due and reasonable costs already incurred in providing the Campaign.
Advertising materials may be removed following termination.
Liability
AD ON CABS is not responsible for indirect or consequential loss arising from a Campaign to the extent permitted by law.
AD ON CABS is not responsible for errors in advertising materials supplied or approved by the Business.
AD ON CABS does not guarantee advertising results.
Nothing in these Advertising Terms excludes, restricts or modifies any right, guarantee or remedy that cannot legally be excluded, restricted or modified under Australian law.
Business Indemnity
To the extent permitted by law, the Business agrees to indemnify AD ON CABS against reasonable claims, costs, losses and liabilities arising from the Business's unlawful advertising material, infringement of third-party rights or material breach of these Advertising Terms.
This indemnity does not apply to the extent that the loss was caused by the negligence, unlawful conduct or breach of these Terms by AD ON CABS.
Dispute Resolution
If a dispute arises concerning a Campaign, the parties will first make reasonable efforts to resolve the matter through good-faith communication.
The Business should contact AD ON CABS in writing and provide sufficient information about the Campaign and the nature of the dispute.
Nothing prevents either party from seeking urgent legal relief where reasonably necessary.
Australian Consumer Law
Nothing in these Advertising Terms is intended to exclude, restrict or modify any consumer guarantee, right, remedy or liability that cannot legally be excluded, restricted or modified under Australian law.

These Advertising Terms are governed by the laws applicable in Victoria, Australia.
